1. Acceptance of Terms

By accessing or using BidOrca ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including contractors, their clients, and visitors.

2. Account Terms

• You must be at least 18 years old to use BidOrca.
• You are responsible for maintaining the security of your account and all activity under it.
• You must provide accurate and complete information when creating your account.
• One person or legal entity may not maintain more than one free account.
• You are responsible for all content posted and activity that occurs under your account.

3. Payment Terms

• The Free plan is available at no cost with usage limits as described on our pricing page.
• Paid plans (Pro, Team) are billed monthly via Stripe. Prices are in USD.
• Payments are non-refundable except where required by law. You may cancel your subscription at any time, and it will remain active through the end of the current billing period.
• We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.
• Payment processing fees charged by Stripe for customer payments you receive through BidOrca are your responsibility.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Upload malicious code, viruses, or any harmful content.
• Attempt to gain unauthorized access to other users' accounts or BidOrca's systems.
• Scrape, crawl, or use automated tools to access the Service without permission.
• Use BidOrca to send spam, unsolicited messages, or fraudulent estimates or invoices.
• Resell or redistribute the Service without written permission.

5. Intellectual Property

BidOrca and its original content, features, and functionality are owned by BidOrca and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all data, estimates, invoices, and content you create using BidOrca. By using the Service, you grant us a limited license to host, store, and display your content as necessary to provide the Service.

6. AI-Generated Content

BidOrca uses artificial intelligence to generate estimates based on your inputs (photos, descriptions, price book). AI-generated estimates are suggestions only. You are solely responsible for reviewing, editing, and approving all estimates before sending them to clients. BidOrca is not liable for inaccuracies in AI-generated content.

7. Limitation of Liability

To the maximum extent permitted by law, BidOrca and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total liability for any claims arising under these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination

We may suspend or terminate your account at any time for violation of these terms, with or without notice. You may delete your account at any time through the Settings page. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law.

10. Dispute Resolution

Any disputes arising from these terms or your use of BidOrca will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action. If arbitration is not enforceable in your jurisdiction, disputes will be resolved in the courts located in the State of Delaware.

11. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new terms.
